This written SOW is issued only after an eligible 20-minute fit conversation confirms that one bounded workflow can be diagnosed within the approved evidence model. It must be sent within one business day after that eligible fit conversation. It is valid for seven calendar days. The SOW must be signed and the full USD 750 payment must clear within that validity period. An expired offer is not reissued within SPA v0.2.

2. Service

Qadarim will diagnose one agreed booking or coordination workflow.

The diagnostic produces exactly five outputs:

  1. current-state workflow map;
  2. evidence-based friction and failure-point analysis;
  3. prioritized recommendations;
  4. proposed future-state workflow; and
  5. implementation requirements and a next-step decision.

Only the workflow named in this signed SOW is in scope.

3. Fee and payment

Fixed fee: USD 750.

Payment timing: 100% upfront.

The full USD 750 must clear before work begins.

No discount, free pilot, installment, deferred-payment substitution, success fee, reciprocal purchase, or bundled implementation is available under SPA v0.2.

Payment method for the approved implementation route: PayPal Business invoice, subject to current provider-capability verification before client use.

No payment is taken to book the 20-minute fit conversation.

4. Delivery start conditions and deadline

Qadarim will deliver the five diagnostic outputs within seven business days.

The delivery clock begins on the first business day after all five conditions are satisfied:

  1. this SOW is signed by both parties;
  2. the full USD 750 payment has cleared;
  3. the 45-minute workflow-intake session is complete;
  4. the required controlled evidence pack has been submitted; and
  5. Qadarim has confirmed in writing that the evidence pack is complete enough for the agreed scope.

Qadarim must confirm evidence completeness or identify missing in-scope evidence within one business day after submission. Qadarim may not delay acceptance by requesting evidence outside the approved evidence boundary.

For SPA v0.2, a business day means Monday through Friday excluding U.S. federal holidays. Operational deadlines use U.S. Eastern Time.

5. Client participation

The client will provide:

  • one 45-minute workflow-intake session;
  • a completed controlled evidence request;
  • reasonable answers to essential clarification questions within two business days; and
  • attendance at one 45-minute review meeting.

An authorized decision-maker remains responsible for approving scope, evidence sharing, and purchase. The intake participant may be that decision-maker or a staff member who directly operates the selected workflow.

A client-caused delay in required evidence or essential clarification pauses the delivery clock. Qadarim will record the pause, cause, requested action, and restart date in writing. Client non-participation may pause or prevent completion, but it does not expand scope or permit prohibited access.

6. Review and factual corrections

The engagement includes one 45-minute review meeting. Qadarim will present the findings, answer clarification questions about the delivered analysis, confirm recommendation priorities, and accept one consolidated round of factual corrections.

The client must submit consolidated factual corrections within two business days after the review meeting. Qadarim will correct demonstrable in-scope factual errors within two business days.

Excluded from the correction round:

  • a second workflow;
  • expanded analysis;
  • new evidence first introduced after delivery unless it corrects a demonstrable factual error;
  • implementation planning beyond the stated implementation requirements;
  • vendor selection;
  • additional advisory sessions; and
  • preference-based redesign that is not an in-scope factual correction.

7. Evidence boundaries

Permitted diagnostic evidence is limited to:

  • public booking pages, service menus, policies, FAQs, and public booking journeys;
  • relevant workflow or SOP documents supplied by the client;
  • configuration screenshots limited to the selected workflow;
  • redacted examples of communications, exceptions, or handoffs; and
  • screen sharing for clarification without transferring access.

Qadarim will not request, receive, or store:

  • passwords, authentication codes, API keys, or other credentials;
  • direct production-system, database, codebase, administrator, or payment-account access;
  • payment-card or bank-account data;
  • protected health information;
  • identifiable customer information; or
  • evidence unrelated to the selected workflow.

If useful analysis cannot be completed within these boundaries, Qadarim will decline or stop the engagement rather than pressure the client to provide prohibited access.

8. Service exclusions

The USD 750 diagnostic does not include:

  • software implementation;
  • custom development;
  • platform configuration;
  • data migration;
  • ongoing operations support;
  • staff outsourcing;
  • guaranteed revenue or cost savings;
  • diagnosis of multiple workflows; or
  • access or evidence prohibited by the approved evidence boundary.

Implementation is separate. The diagnostic may identify implementation requirements and a next-step decision, but it does not bundle or presume implementation.

9. Confidentiality and permitted use

Qadarim will treat non-public client material supplied for the selected workflow as confidential diagnostic evidence. It will be used only to perform and administer the agreed diagnostic, stored only in access-controlled Qadarim systems, and restricted to the person performing the diagnostic. Qadarim will not reuse client evidence for marketing, model training, another client, or another workflow without explicit written permission.

This clause does not change obligations imposed by applicable law or an executed client obligation.

10. Privacy, security, retention, and deletion

The client must receive the current Privacy and Evidence-Handling Notice before evidence submission.

Client diagnostic evidence is scheduled for deletion 90 calendar days after final delivery, or earlier following a valid contractual request, unless a legal obligation requires longer retention.

Contracts, invoices, payment records, and records required by law may be retained for the applicable legal period.

Deletion status must be recorded in the retention/deletion log.

11. Cancellation and rescheduling procedure

Fit conversation: no payment is taken. When the guarded scheduling system is live, the confirmation path must provide a review/reschedule route and must prevent duplicate invitation-linked bookings. Until that live dependency is verified, no SPA v0.2 prospect may be released into the booking path.

Paid-engagement sessions: intake and review may be rescheduled through the business contact route. A client-caused delay may pause the delivery clock only where the governing conditions allow, and Qadarim must document the pause and restart. This artifact adds no cancellation fee or other penalty.

Client-initiated termination does not create a new refund promise in this artifact; applicable law and the executed SOW control any obligation not defined by the frozen Control Pack.

12. Non-performance protection

Qadarim will provide a full refund if Qadarim cancels or fails to deliver the agreed diagnostic due solely to Qadarim.

Client-caused delays pause the delivery clock.

Dissatisfaction alone does not create a refund right.

Demonstrable in-scope factual errors are handled through the included factual-correction process.

This protection must also appear in the transaction terms and invoice/payment terms before payment.

13. No unauthorized guarantee

Qadarim does not guarantee revenue, savings, implementation results, or that an implementation project will be recommended. The diagnostic is decision work based on the permitted evidence available for the one agreed workflow.
